Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and SiteSeeker LLC ("SiteSeeker," "we," "us") governing your use of the SiteSeeker platform, including any feature for listing or selling websites through SiteSeeker. By clicking "I agree," creating an account, or continuing to use SiteSeeker after these Terms take effect, you accept these Terms as an electronic signature under the federal E-SIGN Act and the New Jersey Uniform Electronic Transactions Act. If you do not agree, do not use SiteSeeker.

PART I. GENERAL TERMS

1. The Service SiteSeeker provides software tools for finding business leads, generating websites, hosting them, and operating a marketplace for transferring ownership of those websites. The features you can use depend on the subscription plan you choose and the actions you take in your account. The accuracy of business information surfaced by SiteSeeker depends on third-party data sources.

1A. License to Use SiteSeeker Subject to these Terms and your active subscription, SiteSeeker grants you a limited, non-exclusive, non-transferable license to access and use the platform for your own business purposes, including finding leads, building and selling websites to your clients, and providing related services to those clients. This is a grant of a license to use the service, not a transfer of ownership in SiteSeeker itself. You may not: (a) copy, resell, sublicense, or redistribute the SiteSeeker platform or its software; (b) decompile, reverse engineer, or attempt to extract the source code of the service; (c) scrape, bulk-export, or resell our data except through the export and reporting features we provide; (d) remove or alter any copyright or other proprietary notice; or (e) use the service in a way that violates applicable laws, including laws governing outreach, marketing, and personal data.

2. Your Account You must provide accurate information when creating an account. You are responsible for activity that occurs under your account and for keeping your credentials secure. You must be at least 18 years old to use SiteSeeker.

3. Acceptable Use You will not use SiteSeeker to violate any law, infringe any third party's rights, send unsolicited communications outside of features designed for outreach, attempt to circumvent access controls, or otherwise misuse the service. We may suspend or terminate accounts that violate these rules.

4. Fees and Subscriptions Some SiteSeeker features require a paid subscription. All fees are stated at the point of purchase. Recurring subscriptions renew on their stated schedule until canceled. We may change pricing on prospective renewals with at least 30 days' notice.

4A. Subscription Refunds Subscription refund requests are reviewed on a case-by-case basis; if something is not working as expected, contact us and we will work with you to make it right. Annual plans are non-refundable: by choosing annual billing, you acknowledge that the discounted annual rate is offered in exchange for a full-term commitment, and payments for annual plans cannot be refunded once charged. This Section governs SiteSeeker subscription fees only; refunds, chargebacks, and disputes on marketplace website sales are governed by the Seller Provisions below.

5. Privacy Your use of SiteSeeker is also subject to our Privacy Policy.

5A. Communications and Email By creating a SiteSeeker account, you agree to receive email communications from us, including product updates, tips, and feature announcements; marketing communications and promotional offers; and educational content related to lead generation and business growth. You may unsubscribe from marketing emails at any time using the unsubscribe link included in every marketing email. Transactional emails related to your account security, billing, and service notifications will continue regardless of your marketing email preferences.

6. Updates to These Terms We may update these Terms from time to time. For material changes, we will provide notice by email at least 14 days before the changes take effect and require your affirmative acknowledgment on next login. Continued use after the effective date constitutes acceptance.

7. Termination You can stop using SiteSeeker at any time. We can suspend or terminate your access for breach of these Terms, for non-payment, or as otherwise described in the Seller Provisions below.

7A. Buying Websites on the Marketplace These acknowledgments apply to you any time you buy a website listed on SiteSeeker, and your acceptance of these Terms is your acceptance of them. You acknowledge and agree that: (a) the website is sold by an independent third-party seller, not by SiteSeeker; (b) SiteSeeker is a marketplace intermediary that facilitates the listing, transaction, and payment, is not the seller, and is not a party to the sale contract between you and the seller; (c) each website is sold AS IS and AS AVAILABLE, and SiteSeeker makes no representation or warranty of any kind about any listing and expressly disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, quality, non-infringement, and transferability, except for any warranty the seller itself makes directly to you; (d) all representations and descriptions about a listing are made solely by the seller, and any claim you have arising from the website, its content, or its sale is against the seller and not against SiteSeeker; (e) SiteSeeker does not mediate or arbitrate buyer-seller disputes, and payments, refunds, and disputes are handled through Stripe under Stripe's standard process; and (f) to the maximum extent permitted by law, SiteSeeker's role is limited to that of a neutral venue and SiteSeeker is not liable for the acts, omissions, or listings of any seller.

PART II. SELLER PROVISIONS

These additional terms apply to you any time you use SiteSeeker to list a website for sale, transfer ownership of a website, or receive payments through SiteSeeker. They are part of these Terms and your acceptance of these Terms is your acceptance of these provisions.

8. Merchant of Record You are the merchant of record for every sale of your listings. You are responsible for the description accuracy, quality, delivery, and transferability of each website you list, and for handling any buyer communication after the sale. SiteSeeker is a marketplace intermediary and does not warrant the listings you create. You represent and warrant that you own, or have all rights necessary to sell and transfer, each website you list and all of its content (including text, images, fonts, code, and any third-party or AI-generated material), free of any third-party claim, and that selling and transferring the website to the buyer will not infringe or misappropriate any third party's rights.

9. Fees and Net Proceeds SiteSeeker collects a 2% platform fee on each one-time sale and a 1% platform fee on each recurring maintenance invoice. Payments are processed by Stripe and Stripe deducts its standard processing fees (currently 2.9% + $0.30 per transaction) before settlement. Your payout for each sale is the buyer's payment minus Stripe processing fees minus the SiteSeeker platform fee. If you enable the pass-through option, the 2% platform fee is added to the buyer's total as a separate line item; Stripe processing fees still come out of your payout.

10. Listing Limits The self-service maximum listing price is $10,000 per website and $1,000 per month for maintenance. To list above these caps, contact SiteSeeker for manual review.

11. Refunds and Chargebacks If a buyer obtains a refund, files a chargeback, or wins a dispute, you authorize SiteSeeker to reverse the corresponding portion of your payout from your connected Stripe account. SiteSeeker may issue refunds without your prior consent in cases of clear seller fault (misrepresentation, undelivered site, fraud) and in response to a dispute outcome.

12. Disputes Disputes are handled by Stripe under Stripe's standard dispute process, documented at https://docs.stripe.com/disputes/how-disputes-work. SiteSeeker does not operate a separate appeals process and does not override Stripe's outcomes. When a dispute is opened on a sale of your listing:

(a) Stripe deducts $15 from SiteSeeker as a dispute received fee. SiteSeeker reverses an equivalent $15 from your next available payout to cover this fee. The $15 dispute received fee is non-refundable per Stripe's published policy, including in cases where you win the dispute, except in jurisdictions where Stripe is required to refund it.

(b) You may choose to contest the dispute by submitting evidence through your Stripe Express dashboard. Doing so triggers an additional $15 dispute countered fee per Stripe's fee structure. Stripe refunds the countered fee if you win the dispute. If you lose, the countered fee is forfeit, the $15 dispute received fee remains forfeit, and the full disputed amount has already been debited.

(c) Failing to respond before the issuer's deadline is treated by the network as conceding the dispute and you will lose.

(d) During an open dispute SiteSeeker may pause your other listings as a precaution; pauses are reviewed and lifted on dispute resolution where appropriate.

13. Negative Balance, Repayment, and Account Pause If reversals (refunds, dispute losses, dispute fees) cause your connected Stripe account balance to go negative, the following applies:

(a) Acknowledgment of debt. You owe SiteSeeker the full amount of any negative balance on your connected account ("Negative Balance Debt"). The Negative Balance Debt is a fixed, liquidated, presently due and owing obligation upon notice from SiteSeeker. You waive any requirement of demand, presentment, or notice of dishonor beyond the email notice SiteSeeker sends to your account email.

(b) Five-day grace period. SiteSeeker will notify you by email and dashboard banner when your balance first goes negative. You have five calendar days from that notice to clear the Negative Balance Debt using the self-service repayment flow in your account dashboard, or by waiting for your future SiteSeeker sales to recoup it.

(c) Automatic pause after five days. If the Negative Balance Debt is not cleared within the five-day grace period, SiteSeeker will automatically pause all your active listings, prevent you from publishing new listings, and prevent buyers from completing checkouts on your existing listings. Your account remains paused until the Negative Balance Debt is fully cleared, at which point listings auto-reinstate.

(d) Self-service repayment. SiteSeeker provides a self-service payment flow that lets you clear the Negative Balance Debt by charging a payment card you provide. SiteSeeker uses the proceeds to credit your connected Stripe account so the negative balance returns to zero. Repayment is the fastest path to reinstating your seller account.

(e) Account stated. Whatever balance amount SiteSeeker reports to you by email or in your dashboard is the agreed, stated, and settled balance unless you dispute it in writing (email to team@siteseeker.ai) within seven calendar days of the notice. After that period, the reported amount is conclusively presumed correct and is not subject to further dispute in any proceeding to collect it.

(f) Personal guarantee on listings above five thousand dollars. If you list a website at or above $5,000, then by accepting these Terms and publishing that listing, you personally and unconditionally guarantee any Negative Balance Debt arising from the sale of that listing, regardless of whether your SiteSeeker account is held by an individual, sole proprietorship, LLC, corporation, or other entity. Publishing a listing at or above $5,000 is your affirmative acceptance of this guarantee for that listing. You expressly waive the corporate veil as to that listing and agree that SiteSeeker may pursue you individually for the Negative Balance Debt.

(g) Default and collection. If the Negative Balance Debt remains unpaid more than thirty (30) calendar days after the original notice, the debt is in default. SiteSeeker may recover the debt by any lawful means, including (i) deducting it from any future SiteSeeker payouts on any account you control, (ii) referring the debt to a collections agency, or (iii) commencing legal action in the venue identified in Section 19.

(h) Defense waiver. You waive any defense to collection based on the absence of a separate written promissory note. This Agreement, together with SiteSeeker's records of your acceptance (including timestamp, IP address, and the SHA-256 hash of the Terms you accepted), is intended by the parties to be a written acknowledgment of debt and a settled, agreed account, and is sufficient evidence to support a claim for the Negative Balance Debt.

(i) Attorney's fees and costs. You agree to reimburse SiteSeeker for reasonable collection costs and attorney's fees actually incurred to collect a Negative Balance Debt, to the maximum extent permitted by law.

14. Payout Hold New sellers are placed on a 7-day payout hold. Funds from each sale are held for 7 days before they become payable to your bank. This hold protects against chargebacks and disputes that the buyer's card network may raise shortly after the sale; SiteSeeker does not review individual sales during the hold. After your first payout settles and 7 days pass with no disputes, the hold is reduced to 2 days. Any new dispute on any of your sales resets the hold back to 7 days until again earned down.

15. Listing Pause and Suspension SiteSeeker may pause individual listings, or temporarily suspend your seller account, at SiteSeeker's reasonable discretion in response to (a) an open dispute, (b) a pattern of refunds or disputes, (c) an unresolved Negative Balance Debt, (d) reasonable suspicion of fraud, (e) a listing exceeding the limits in Section 10 without prior approval, or (f) violation of these Terms. Paused listings can be unpaused once the underlying issue is resolved.

16. Indemnification You will indemnify, defend, and hold harmless SiteSeeker LLC and its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorney's fees) arising out of (a) your listings or the websites you sold, (b) your breach of these Terms, (c) any claim by a buyer arising from your sale (other than a claim that these Terms themselves were unenforceable), or (d) any claim that content you uploaded or transferred infringed a third party's rights.

PART III. SHARED LEGAL TERMS

17. Limitation of Liability To the maximum extent permitted by law, SiteSeeker's aggregate liability to you for any claim arising out of these Terms or the platform is limited to the amount of fees SiteSeeker collected from you in the 12 months preceding the claim. SiteSeeker is not liable for indirect, incidental, consequential, special, or punitive damages.

18. Audit Trail The version of these Terms you accepted, the date and time of acceptance, the IP address from which you accepted, and a cryptographic hash of the exact text you accepted are retained in SiteSeeker's records. These records are admissible in any proceeding as evidence of your acceptance.

19. Governing Law and Venue These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any action arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Hudson County, New Jersey, and you consent to personal jurisdiction in those courts and waive any objection based on venue or forum non conveniens.

20. Waiver of Jury Trial EACH PARTY WAIVES ITS RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

21. Electronic Acceptance By clicking "I agree" or by continuing to use SiteSeeker after these Terms take effect, you affirm that (a) you are at least 18 years old and authorized to enter into this agreement, (b) you have had the opportunity to read it in full, (c) you intend your click or continued use to act as your signature, and (d) you consent to receive related notices electronically at your account email.
